Please read these Terms & Conditions (“Terms”) carefully before using our website at www.metalplants.com (the “Website”) or engaging in any business with us. By accessing or using the Website or entering into any agreement with us, you agree to be bound by these Terms of Use. If you do not agree to these Terms, you should not use the Website or transact with us.
1. Scope
These Terms govern your use of the Website, any enquiries you make through the Website, and any business relationship or contract you enter into with the Company relating to the design, manufacture, supply, servicing, or support of process equipment, systems, and solutions.
2. Definitions
- “Customer” means the person or entity entering into a contract with us for the supply of goods or services.
- “Services” means such design, manufacture, supply, installation, commissioning, maintenance, servicing, or support of process equipment, systems, and solutions as we may agree to provide.
- “Goods” means the process equipment, systems, components, and related items that we design, manufacture, or supply.
- “Contract” means any written agreement entered into between the Customer and us for the supply of Goods and/or Services.
3. Use of Website
- The Website and its contents (text, images, design) are provided for general information only. We make no guarantee regarding the completeness, accuracy, or suitability of the information.
- You agree not to misuse the Website (for example, by interfering with websites in a way which causes them to load incorrectly, or by transmitting malicious code).
- We reserve the right to suspend, withdraw, or amend any part of the Website without notice.
4. Quotations and Orders
- All quotations given by us are valid only for the period stated (or otherwise 30 days from issue) unless we state otherwise in writing.
- The Customer’s purchase order constitutes an offer to purchase our Goods and/or Services on these Terms plus any additional terms we accept in writing.
- We accept the purchase order only when we send a written acknowledgement or issue an invoice. Until then, no contract exists, and we are not obliged to fulfil the order.
- If there are errors or omissions in the quotation or order acknowledgement (including specification, quantities, price), we reserve the right to correct them and to refuse or cancel the order.
5. Price & Payment
- The price of the Goods and/or Services is the price stated in our quotation or acknowledgement, exclusive of taxes, duties, freight, insurance, installation, commissioning, unless otherwise stated.
- Payment terms (e.g., advance payment, progress payments, balance on delivery) shall be as set out in our quotation or contract.
- If the Customer fails to make any payment when due, we may suspend delivery, charge interest at a rate of 24 % per annum on the overdue amount, or cancel the Contract.
- Title to the Goods remains with us until the price and all sums owing by the Customer to us are paid in full.
6. Delivery & Risk
- Delivery shall be by the date or within the period specified in our quotation or contract and is subject to any events beyond our control (see Clause 11). Any delivery date is an estimate only.
- Risk in the Goods passes to the Customer when the Goods are delivered to the Customer’s premises or an agreed delivery point.
- We shall not be liable for any loss or damage arising from delay in delivery or failure to deliver in full, except as set out in these Terms.
7. Specification & Inspection
- The Goods and/or Services shall conform to the specifications set out in the Contract. Changes or variations must be agreed upon in writing by both parties.
- The Customer shall inspect the Goods within 7 days of receipt and notify us in writing of any claim for missing or damaged Goods or non-conformity. If no notification is received by that date, the Goods will be deemed to have been accepted.
8. Warranty & After-Sales Service
- We warrant that the Goods (if used under proper conditions) will be free from material defects in artistry or materials for a period of 12 months from delivery or commissioning, as applicable. This warranty is subject to proper usage, maintenance, and installation by the Customer and excludes consumables, normal wear and tear, damage resulting from misuse, neglect, or unauthorized modification.
- Our liability under this warranty shall be limited to repairing or replacing the defective Goods (or parts thereof) at our discretion.
- No other warranty (express or implied) is given, including any implied warranty of merchantability or fitness for purpose.
9. Limitation of Liability
- Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or wilful misconduct.
- Subject to the foregoing, our total liability to the Customer, under or in connection with the Contract, shall not exceed the total amount paid by the Customer under that Contract.
- We shall not be liable for indirect or consequential loss, including but not limited to loss of profit, loss of business, loss of production, business interruption, or other economic loss, even if foreseeable.
10. Intellectual Property
- All intellectual property rights in the Goods, drawings, designs, models, software, documentation, or other materials provided by us remain vested in us or our licensors.
- The Customer may not reproduce, modify, copy, distribute, publish, or sublicense any such materials without our prior written consent.
- The Customer grants us a licence to use the Customer’s name and logo in our marketing material and client lists, unless the Customer objects in writing.
11. Force Majeure
We shall not be liable to the Customer for any delay or failure in performance of our obligations under the Contract if such delay or failure arises from any cause beyond our reasonable control, including but not limited to acts of God, fire, flood, explosion, earthquake, epidemic/pandemic, strikes, lock-outs, war, terrorism, government action, shortage of materials, transport delays, supply chain disruption or delays in approvals.
12. Confidentiality
- Each party shall keep confidential any proprietary or confidential information disclosed by the other party, and shall not use it except in connection with the Contract.
- The confidentiality obligations will not apply to information which is in the public domain (other than by breach of confidentiality), which is independently developed, or which is required to be disclosed by law or regulation.
13. Data Protection
We will process any personal data provided to us in accordance with our Privacy Policy, a copy of which is available on the Website.
14. Termination
- Either party may terminate the Contract if the other party commits a material breach and fails to remedy it within 30 days of written notice.
- On termination, the Customer shall pay for all Services performed and Goods delivered up to the date of termination, together with any reasonable costs incurred (including commitments to third parties).
- Termination shall not affect accrued rights, obligations, or liabilities of either party under the Contract.
15. Governing Law & Jurisdiction
These Terms and any Contract shall be governed by and construed in accordance with the laws of the Republic of India. The parties agree to submit to the exclusive jurisdiction of the courts of Thane, Maharashtra, India.
16. Amendments
We reserve the right to update or amend these Terms at any time. The version of the Terms posted on the Website at any given time is the version to which you agree. If we make material changes, we will provide notice via the Website or other means.
17. General
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No waiver by us of any breach, default, or right under these Terms shall be deemed a waiver of any subsequent breach or default or right.
- The headings in these Terms are for convenience only and shall not affect interpretation.
